Executive Permanent Search & Selection Professional Fees

TERMS OF BUSINESS

This document outlines the Terms & Conditions relating to professional services provided by AI Talent on Demand and any company, firm or organization (the “Client”) that requires or requests the introduction of personnel for employment on a permanent or contract basis (the “Candidate”).

SERVICES PROVIDED

Ai Talent on Demand provides professional services in Executive Search & Selection.

Terms of Business – Executive Search & Recruitment Services

1. Application and Acceptance

  • Upon acceptance of an assignment, AI Talent On Demand will provide recruitment and search services in a professional, confidential, and timely manner.
  • Written confirmation of the agreed role brief, terms, and fees will be provided prior to commencement.
  • AI Talent On Demand undertakes to represent the client accurately and professionally in the marketplace.

2. Professional Fees

  • All executive search assignments are undertaken on a retained basis.
  • Fees are charged in two stages:
    • 50% Retainer Fee – payable upon commencement of the assignment.
    • 50% Completion Fee – payable upon the successful candidate’s start date.
  • Fees are calculated as a percentage of the total remuneration package, defined as:
    • Base salary;
    • Superannuation;
    • Motor vehicle or allowance (if applicable)
      Excludes discretionary bonuses, commissions, or incentives.

Cancellations:

  • Within 24 hours of engagement – no fee.
  • Before shortlist presentation – retainer fee payable only.
  • After shortlist presentation – retainer plus one-third of the total fee is payable.
  • If an offer of employment is withdrawn by the client after written acceptance by the candidate (through no fault of the candidate), the full fee remains payable.

3. Payment Terms

  • All fees are invoiced in Australian dollars, exclusive of GST.
  • Payment is due strictly within 7 days of invoice date.
  • Late or non-payment voids any guarantees provided.

4. Disbursements

  • Out-of-pocket expenses (e.g, advertising, background checks, personality profiles) will be invoiced separately at cost, only with the client’s prior approval.

5. Subsequent Employment

  • If a candidate introduced by AI Talent On demand is employed by the client (or a related entity) within six months of the initial introduction, the applicable fee is payable, regardless of whether the candidate was initially rejected.
  • If the client refers the candidate to a third party resulting in employment within six months, the client remains liable for the fee.
  • These placements do not attract a guarantee.

6. Guarantee

  • Should the appointed candidate resign or be terminated for cause within three (3) months of commencement (including notice period), AI Talent On Demand will provide a one-time replacement search at no additional professional fee, provided:
    1. Termination is not due to redundancy, restructuring, or a material change to the role.
    2. The client notifies AI Talent On Demand of the termination within seven (7) days.
    3. All fees have been paid in accordance with these terms.

7. Suitability

  • AI Talent On Demand will exercise reasonable skill and care in the selection and assessment of candidates, including the conduct of reference checks.
  • The final decision on suitability rests with the client, who is responsible for ensuring the candidate meets their specific requirements.

8. Liability and Indemnity

  • Ai Talent On Demand accepts no liability for any loss, cost, or damages arising from the acts or omissions of a candidate once employed.
  • The client indemnifies AI Talent On Demand against any claims or losses arising from the actions of the candidate after appointment.

9. Confidentiality, Privacy & Intellectual Property

  • All candidate information is confidential and provided solely to assess suitability for the client’s role.
  • The client agrees to comply with the Privacy Act 1988 (Cth) in handling personal information.
  • Candidate resumes and related materials remain the intellectual property of AI Talent On Demand.
  • The client must not share candidate details externally without written permission.

10. Compliance

  • Both AI Talent On Demand and the client agree to comply with all relevant laws, including workplace health & safety, equal opportunity, and employment law.

Contractor Talent Engagement Professional Fees

TERMS OF BUSINESS

This document outlines the Terms & Conditions relating to professional services provided by AI Talent on Demand and any company, firm or organization (the “Client”) that requires or requests the introduction of personnel for employment on a permanent or contract basis (the “Candidate”).

1. Application and Acceptance

AI Talent On Demand acts exclusively as an introducer of candidates to the client for contract assignments; all day-to-day contractor management and direction rests solely with the client.​

2. Engagement Terms

Contractors are engaged by the client for a defined project, period, or on-demand hourly/day basis. All engagement documentation, commercial terms, and deliverables are confirmed in writing between the client and contractor.

3. Professional Fees

Placement fees for contract hires are agreed per assignment and invoiced to the client at the agreed project or milestone rate (plus GST).

4. Payment Terms

Fees are invoiced in Australian dollars, exclusive of GST, and due strictly within 7 days of invoice date. Late or non-payment suspends any services and voids any service guarantees.

5. Intellectual Property & Confidentiality

All IP created during a contract engagement is assigned to the client unless otherwise agreed in writing. Contractors must maintain confidentiality over client data and proprietary information.

6. Compliance & Onboarding

Contractors are solely responsible for compliance with all relevant laws, including privacy, OH&S, and professional obligations, while under contract with the client.
AI Talent On Demand, as introducer, is not responsible for contractor compliance on assignment.

7. Termination & Notice

Either party may terminate the assignment with 30 days’ written notice.
Immediate termination applies for misconduct, breach, insolvency, or at the client’s discretion, consistent with written agreement.

8. Substitution & Exclusivity

Substitution is permitted only with client prior approval and equivalently qualified talent.
Contractors may accept other engagements unless otherwise specified.

9. Liability & Indemnity

To the fullest extent permitted by law, AI Talent On Demand’s total liability under this agreement is capped at the fee paid for the specific placement. AI Talent On Demand shall not be liable for any indirect, consequential, or economic loss, including but not limited to loss of business, revenue, reputation, or data, arising out of contractor actions before, during, or after engagement. Client indemnifies AI Talent On Demand against any claims, losses, costs, or damages resulting from contractor acts, omissions, or breach after employment commences. AI Talent On Demand does not warrant the suitability, performance, or conduct of contractors once engaged.

10. Subsequent Employment & Referral

If a contractor introduced by AI Talent On Demand is engaged directly by the client or via third party referral within six months of original introduction, the applicable fee remains due.

11. Disbursements

Out-of-pocket costs (e.g., travel, checks, licensing) are billed at actual cost with prior client approval.

12. Confidentiality, Privacy & Data Protection

All parties agree to comply with the Privacy Act 1988 (Cth). Candidate and contractor information is provided solely for assessment purposes and may not be disclosed outside the client organization without prior written permission.

13. Guarantee

No guarantee as to employment duration, contractor performance, or replacement is provided for contract or contingent placements unless expressly stated in writing.

14. General Compliance

All parties agree to comply with relevant Australian laws, act in good faith, and work collaboratively during the assignment.
